Qurius’ shareholders authorize transaction and executive board extension
At this morning’s extraordinary meeting, the shareholders of Qurius N.V. have authorized the merger with Watermark, which will create Europe’s largest Microsoft Dynamics partner. The combined company will have around 700 employees and 1,700 customers. The merger will be consolidated in Qurius' financial results as of 31 December 2006.
The shareholders have approved both the proposed transaction and extension of Qurius' Executive Board with two members. As of 18 December, the Executive Board will include Watermark's Tom Stolk and Frank van der Woude, besides Fred Hermans and Mark van Kemenade.

Our customers can benefit from the expertise and scale expansion. Also, the merger is expected to make a positive contribution to the earnings per Qurius share", says Fred Hermans, chief executive officer of Qurius.
Transaction and shares
Further information on the transaction is available in the shareholder circular on Qurius' website. Summarized, Qurius receives 100% of the Watermark shares in exchange for 18 million euro in cash, 18.6 million newly issued (unlisted) Qurius shares B and a share loan of 2 million newly issued Qurius shares. The issue of B shares is a temporary solution to conclude the transaction in a short time space: all 18.6 million B shares will be converted into listed shares before 1 May 2007. Because of the transaction, the number of Qurius shares outstanding will increase to 74.682.619.
